These Terms and Conditions ("Terms") govern the provision of information technology products and services by DelTrix Technology ("DelTrix", "we", "us" or "our") to any customer ("Customer", "you" or "your").
These Terms apply to quotations, invoices, orders, service requests, IT support, consulting, installations, repairs, hardware, software, licences, subscriptions, projects and other products or services supplied by DelTrix, unless otherwise agreed in writing.
1. DEFINITIONS
For purposes of these Terms:
"Customer" means the individual, company, organisation or other entity purchasing or receiving Products or Services from DelTrix.
"Products" means hardware, equipment, components, software, licences, subscriptions, digital products and other goods supplied by DelTrix.
"Services" means IT support, technical support, consulting, installations, configurations, repairs, maintenance, cybersecurity services, network services, cloud services, Microsoft 365 services, backup services, project work and other technical services provided by DelTrix.
"Quotation" means a written quotation issued by DelTrix setting out proposed Products, Services, pricing and applicable terms.
"Third-Party Provider" means any manufacturer, distributor, software publisher, cloud provider, telecommunications provider, hosting provider or other external service provider whose products or services are supplied, integrated or used as part of the Services.
"Business Day" means a day other than a Saturday, Sunday or South African public holiday.
2. ACCEPTANCE OF TERMS
2.1 By accepting a quotation, placing an order, making payment, approving work, requesting Services, signing a document, electronically accepting an agreement, or instructing DelTrix to proceed, the Customer agrees to these Terms.
2.2 These Terms form part of the agreement between DelTrix and the Customer unless expressly replaced or amended by a written agreement signed or accepted by both parties.
2.3 Where a quotation, proposal, service agreement or other written agreement contains terms that conflict with these Terms, the specific written agreement will prevail to the extent of the conflict.
2.4 DelTrix reserves the right to decline an order or Service request where it is unable to reasonably provide the requested Product or Service.
3. QUOTATIONS AND ORDERS
3.1 Quotations are valid for the period stated on the quotation.
3.2 If no validity period is stated, a quotation is valid for 14 days from the date of issue, subject to availability and supplier pricing.
3.3 A quotation is subject to product availability and third-party pricing.
3.4 Hardware, software, licensing and subscription prices may change before an order is confirmed due to supplier price changes, exchange-rate fluctuations, stock availability or other circumstances outside DelTrix's reasonable control.
3.5 An order is only considered confirmed once DelTrix has accepted the order and, where applicable, received the required payment or deposit.
3.6 Products may not be ordered, purchased or reserved from a supplier until the Customer has accepted the quotation and any required payment has been received.
3.7 Special-order, imported, custom-configured or non-stock Products may be subject to additional terms specified in the applicable quotation.
4. PRICING
4.1 All prices are stated in South African Rand (ZAR) unless otherwise specified.
4.2 Prices for third-party Products and Services are subject to the pricing and terms imposed by the relevant Third-Party Provider.
4.3 DelTrix may charge reasonable delivery, courier, travel, call-out, installation, configuration or other additional costs where these are not included in the original quotation.
4.4 Where additional work becomes necessary due to circumstances that could not reasonably have been identified before work commenced, DelTrix may provide an additional quotation or obtain Customer approval before proceeding where reasonably practicable.
5. PAYMENT TERMS
5.1 Payment is due according to the payment terms stated on the applicable quotation or invoice.
5.2 Unless otherwise agreed in writing, invoices are payable within 7 days of the invoice date.
5.3 DelTrix may require full or partial payment in advance for:
- Hardware purchases;
- Software licences;
- Cloud subscriptions;
- Third-party services;
- Special-order Products;
- Projects requiring supplier prepayment; or
- Any other Product or Service where advance payment is reasonably required.
5.4 Ownership of physical Products supplied on credit remains with DelTrix until payment has been received in full, to the extent permitted by applicable law.
5.5 Payment does not automatically constitute acceptance of defective Products where the Customer has a statutory right to reject or seek an applicable remedy.
6. LATE PAYMENT
6.1 If an invoice remains unpaid after its due date, DelTrix may issue a payment reminder and may suspend Services where reasonably necessary and legally permissible.
6.2 DelTrix may charge reasonable collection costs, interest or other amounts where permitted by law and where applicable to the Customer's agreement or quotation.
6.3 Suspension of Services for non-payment does not automatically cancel outstanding invoices or contractual obligations.
6.4 DelTrix reserves the right to require payment of outstanding amounts before resuming suspended Services.
7. HARDWARE AND PRODUCT SALES
7.1 Hardware and physical Products are supplied subject to manufacturer availability, specifications and warranty conditions.
7.2 DelTrix will, where applicable, pass manufacturer warranties through to the Customer.
7.3 DelTrix does not provide a manufacturer warranty beyond the warranty actually offered by the manufacturer unless expressly agreed in writing.
7.4 The Customer must inspect Products within a reasonable period after delivery and notify DelTrix of any apparent damage, shortage or incorrect Product as soon as reasonably practicable.
7.5 The Customer must retain packaging and accessories where reasonably necessary to facilitate a warranty or return process.
7.6 Nothing in these Terms limits any statutory rights applicable to the Customer.
8. DIGITAL LICENCES, SOFTWARE AND SUBSCRIPTIONS
8.1 Digital licences, activation keys, subscription licences, software licences and other electronically supplied Products are procured or issued specifically for the Customer and may be subject to third-party licensing restrictions.
8.2 Once a digital licence, activation key or subscription has been issued, activated, redeemed, registered to an account, assigned to a user or otherwise supplied for the Customer's use, it is non-refundable and cannot be returned solely because the Customer has changed their mind, ordered the incorrect licence, no longer requires the licence, or has not used the licence.
8.3 The Customer is responsible for confirming the required:
- Product;
- Edition;
- Licence type;
- Number of users;
- Number of devices;
- Subscription term;
- Feature requirements; and
- Other licensing requirements
before placing an order.
8.4 Where DelTrix supplied an incorrect licence due to an error by DelTrix, DelTrix will, where reasonably possible, arrange an appropriate correction, replacement or other remedy.
8.5 Where a licence is supplied by a Third-Party Provider, the applicable third-party licence agreement, cancellation restrictions and refund policies may also apply.
8.6 DelTrix cannot guarantee that a third-party software publisher will approve a cancellation, transfer or refund request.
8.7 Nothing in this clause excludes, restricts or limits any right or remedy available to the Customer under applicable South African law, including statutory rights relating to defective, unsuitable or incorrectly supplied Products.
8.8 Where a refund, replacement, repair or other remedy is legally required, DelTrix will provide the applicable remedy in accordance with the circumstances and applicable law.
9. THIRD-PARTY PRODUCTS AND SERVICES
9.1 DelTrix may supply or facilitate Products and Services provided by third parties, including but not limited to:
- Microsoft;
- Cloud service providers;
- Internet service providers;
- Hosting providers;
- Antivirus and cybersecurity providers;
- Hardware manufacturers;
- Software publishers;
- Backup providers; and
- Telecommunications providers.
9.2 Third-party Products and Services are subject to the relevant provider's terms, licensing agreements, warranties, availability and policies.
9.3 DelTrix is not responsible for changes, outages, failures, pricing changes, licence restrictions or discontinuation of third-party Products or Services outside DelTrix's reasonable control.
9.4 Where reasonably possible, DelTrix will assist the Customer in communicating with the relevant Third-Party Provider.
10. IT SUPPORT AND REMOTE ACCESS
10.1 The Customer authorises DelTrix to access Customer systems where such access is reasonably necessary to perform requested Services.
10.2 Remote access may require the installation or use of remote-support software or other technical tools.
10.3 The Customer authorises DelTrix to perform reasonable diagnostic, configuration, maintenance and troubleshooting activities necessary to provide the requested Service.
10.4 DelTrix will not intentionally access information unrelated to the Services being performed.
10.5 The Customer remains responsible for ensuring that DelTrix has appropriate authorisation to access systems, accounts and data.
10.6 Where remote access cannot reasonably be performed safely or reliably, DelTrix may require onsite access or another suitable method of providing the Service.
10.7 Home and Family Care is available to households for personal use only. Businesses and home offices that use the Services for work must use a business support plan.
10.8 Home and Family Care includes up to 60 minutes of remote support per month in total. Unused time does not carry over. DelTrix will tell the Customer before the included time is exceeded, and further remote support is charged at the member rate in blocks of 15 minutes.
10.9 Home and Family Care covers the number of devices selected. Phones, tablets, laptops and computers count as devices. Routers and printers do not.
10.10 Home and Family Care does not include hardware repairs and parts, data recovery, software licences, onsite visits or after-hours support. These are charged separately.
10.11 Monthly support plans are billed monthly in advance and run month to month. The Customer may stop by giving notice before the next invoice is due and keeps the Services until the end of the period already paid for.
11. CUSTOMER RESPONSIBILITIES
11.1 The Customer must provide DelTrix with reasonable access, information and cooperation required to perform the Services.
11.2 The Customer must provide accurate information regarding:
- Users;
- Devices;
- Systems;
- Networks;
- Software;
- Licences;
- Existing configurations;
- Security controls; and
- Known technical issues.
11.3 DelTrix is not responsible for delays caused by inaccurate, incomplete or unavailable Customer information.
11.4 The Customer must ensure that its employees and authorised users comply with applicable security and acceptable-use requirements.
11.5 The Customer remains responsible for business decisions made based on technical recommendations provided by DelTrix.
12. PASSWORDS, CREDENTIALS AND ACCESS
12.1 Customers should provide secure administrative access where reasonably necessary for DelTrix to perform authorised Services.
12.2 DelTrix will treat Customer credentials as confidential and will not intentionally disclose them except where authorised by the Customer or required by law.
12.3 Where possible, temporary accounts, delegated access or other secure authentication methods should be used instead of sharing permanent passwords.
12.4 Customers remain responsible for maintaining ownership and control of their accounts and credentials.
12.5 DelTrix recommends that Customers use multi-factor authentication, strong passwords and appropriate privileged-access controls.
13. BACKUPS AND DATA RECOVERY
13.1 Unless expressly included in writing, DelTrix does not guarantee that Customer data is backed up.
13.2 The Customer remains responsible for maintaining appropriate backups of important business information.
13.3 Where DelTrix provides backup services, the scope, retention period, storage location, frequency and recovery options will be determined by the applicable quotation or service agreement.
13.4 A backup system does not guarantee successful recovery of every file, system or dataset.
13.5 Where data recovery is required, additional charges may apply unless recovery is included in an existing Service agreement.
13.6 Customers should maintain independent backups for critical information where appropriate.
14. CYBERSECURITY SERVICES
14.1 Cybersecurity Services may include security assessments, vulnerability assessments, endpoint protection, security configuration, monitoring, incident response, security awareness or related activities.
14.2 The Customer authorises DelTrix to perform only security testing and security activities that have been expressly authorised.
14.3 DelTrix will not intentionally conduct intrusive testing against systems for which the Customer does not have appropriate authority.
14.4 No cybersecurity service can guarantee that a system will remain completely free from malware, compromise, unauthorised access or other security incidents.
14.5 Security recommendations may require the Customer to implement changes to systems, policies, software or user behaviour.
14.6 The Customer remains responsible for approving and implementing business, security and risk decisions unless such implementation has specifically been included in the Services.
14.7 The Security Check-Up and the Security Quick Check are fixed-price, once-off Services. DelTrix will begin only after the Customer has given written permission, which may be given by email, and has provided the access and information requested.
14.8 For these Services DelTrix will use read-only access and non-intrusive methods. DelTrix will not attempt to exploit weaknesses, change settings, copy business data or disrupt services. The Customer must not send passwords by email or message.
14.9 The Customer confirms that it owns the systems to be checked, or has permission from their owner, and that the person giving permission has authority to do so.
14.10 The Security Check-Up and the Security Quick Check are point-in-time reviews. They are not penetration tests, they do not guarantee that any system is or will remain secure, and the report reflects only what was found on the day the check was performed.
14.11 DelTrix will treat the findings and the report as confidential and will remove any access given for the check when the work is complete.
14.12 The report belongs to the Customer. Any work to fix the findings is quoted and agreed separately.
15. DATA AND PERSONAL INFORMATION
15.1 Where DelTrix processes personal information on behalf of the Customer, the parties acknowledge that the Protection of Personal Information Act 4 of 2013 ("POPIA") may apply.
15.2 DelTrix will process Customer personal information only to the extent reasonably necessary to perform the agreed Services, subject to lawful instructions from the Customer and applicable law.
15.3 DelTrix will take reasonable technical and organisational measures appropriate to the circumstances to protect personal information against unauthorised access, loss, destruction or unlawful processing.
15.4 DelTrix will treat personal information accessed during the provision of Services as confidential, subject to legal requirements and the proper performance of the Services.
15.5 Where DelTrix becomes aware of a security compromise involving personal information processed on behalf of the Customer, DelTrix will notify the Customer as required by applicable law and the circumstances.
15.6 The Customer remains responsible for its own compliance obligations as the responsible party where applicable, including determining the lawful basis and purpose for processing personal information.
15.7 Where required, the parties may enter into a separate data-processing or operator agreement.
16. CONFIDENTIALITY
16.1 Each party must take reasonable steps to protect confidential information received from the other party.
16.2 Confidential information includes business information, technical information, credentials, configurations, customer information, personal information, security information and non-public commercial information.
16.3 Confidential information may be disclosed where:
- Required by law;
- Required by a competent authority;
- Necessary to perform the Services;
- Authorised by the owner of the information; or
- Already lawfully available in the public domain.
16.4 These confidentiality obligations survive termination of the relevant Services to the extent reasonably required.
17. SERVICE AVAILABILITY AND RESPONSE TIMES
17.1 Unless a separate Service Level Agreement ("SLA") has been agreed in writing, DelTrix does not guarantee a fixed response or resolution time.
17.2 Response times may depend on:
- Severity of the issue;
- Availability of technical staff;
- Customer availability;
- Required third-party support;
- Hardware or software availability;
- Internet connectivity;
- Supplier response times; and
- Other circumstances outside DelTrix's reasonable control.
17.3 An estimated resolution time is not a guaranteed completion time unless expressly agreed in writing.
18. ONSITE SERVICES
18.1 Onsite Services may be subject to travel, call-out, mileage, parking or other applicable charges.
18.2 The Customer must provide reasonable access to the premises and relevant equipment.
18.3 The Customer must inform DelTrix of any known hazards, access restrictions or security requirements before an onsite visit.
18.4 Where the Customer is unavailable or prevents access after an onsite appointment has been arranged, a reasonable call-out or wasted-visit charge may apply where disclosed or agreed.
19. PROJECTS AND IMPLEMENTATIONS
19.1 Projects are performed according to the scope agreed in the relevant quotation or project document.
19.2 Changes to the agreed scope may result in additional charges and revised completion dates.
19.3 DelTrix will not be responsible for delays caused by Customer dependencies, unavailable information, third-party providers, hardware shortages, licensing issues or other circumstances outside DelTrix's reasonable control.
19.4 Where a project requires Customer approval, testing or sign-off, the Customer must provide such approval within a reasonable period.
19.5 Unless otherwise agreed, project completion does not include ongoing support or maintenance beyond the Services specifically included in the quotation.
20. CUSTOMER-OWNED EQUIPMENT
20.1 DelTrix will take reasonable care of Customer equipment while it is in DelTrix's possession or under its control.
20.2 The Customer remains responsible for existing defects, faults, incompatible hardware, unsupported software and pre-existing conditions.
20.3 DelTrix may recommend replacement rather than repair where repair is uneconomical, impractical or unlikely to provide a reliable result.
21. DATA LOSS
21.1 The Customer acknowledges that IT maintenance, repair, upgrades, migrations, software changes and other technical work can involve an inherent risk of data loss or corruption.
21.2 DelTrix will take reasonable precautions appropriate to the Service being performed.
21.3 The Customer must maintain appropriate backups before authorising work that could reasonably affect data.
21.4 Where DelTrix identifies that a backup is absent, incomplete or unsuitable, DelTrix may recommend that a backup be created before proceeding.
21.5 Nothing in this clause excludes liability that cannot lawfully be excluded.
22. LIABILITY
22.1 DelTrix will perform Services with reasonable care and skill appropriate to the nature of the Services.
22.2 To the extent permitted by law, DelTrix will not be liable for indirect, consequential or special losses arising from circumstances outside DelTrix's reasonable control.
22.3 Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law.
22.4 DelTrix does not guarantee uninterrupted operation of Customer systems, networks, Internet connections, cloud platforms or third-party services.
22.5 The Customer acknowledges that technical environments can contain unknown faults, vulnerabilities, compatibility issues and third-party dependencies.
22.6 Nothing in these Terms limits any statutory right or remedy that cannot lawfully be excluded.
23. WARRANTIES AND STATUTORY RIGHTS
23.1 Products supplied by DelTrix are subject to applicable manufacturer warranties and statutory rights.
23.2 Services will be performed with reasonable care and skill.
23.3 Nothing in these Terms is intended to exclude, restrict or waive any statutory right or remedy that cannot lawfully be excluded.
23.4 Where the Consumer Protection Act or another applicable law provides a warranty, remedy or consumer right, that right will apply to the extent applicable to the transaction.
23.5 Manufacturer warranties may have conditions relating to misuse, physical damage, unauthorised modification, environmental conditions or other circumstances.
24. RETURNS, REFUNDS AND CANCELLATIONS
24.1 Returns, refunds and cancellations are subject to the nature of the Product or Service, the applicable quotation, third-party supplier terms and applicable South African law.
24.2 A Customer may not cancel or return a Product solely because of a change of mind where applicable law does not provide such a right and the Product has been appropriately supplied.
24.3 Digital licences and software are specifically subject to Section 8 of these Terms.
24.4 Special-order, custom-configured or specifically procured Products may be subject to cancellation restrictions disclosed to the Customer before the order is confirmed.
24.5 Where a statutory right to return, repair, replace or obtain a refund applies, DelTrix will provide the applicable remedy in accordance with the law.
24.6 Any voluntary refund or cancellation policy offered by DelTrix does not replace statutory rights.
24.7 A Security Check-Up or Security Quick Check may be cancelled for a full refund before work has begun. Once the Customer has given access and work has started, the fee is not refundable.
24.8 A credit of R500 off the first month of a monthly IT support plan applies when the Customer starts the plan within 30 days of receiving the Security Check-Up report. The credit has no cash value and cannot be combined with other offers.
25. INTELLECTUAL PROPERTY
25.1 Unless otherwise agreed, intellectual property belonging to DelTrix before the commencement of the Services remains the property of DelTrix.
25.2 This may include scripts, templates, methodologies, documentation, tools, configurations, automation, processes and technical materials developed independently of a specific Customer project.
25.3 Customer-specific data, documents and information supplied by the Customer remain the Customer's property.
25.4 Third-party software and licences remain subject to the applicable third-party intellectual-property and licensing terms.
26. THIRD-PARTY CONTRACTORS
26.1 DelTrix may use suitably qualified third-party contractors or service providers where reasonably necessary to provide the Services.
26.2 DelTrix will remain responsible for managing the Services it has agreed to provide, subject to the applicable agreement and law.
26.3 Where third-party providers directly provide Products or Services to the Customer, their own terms may apply.
27. FORCE MAJEURE
27.1 DelTrix will not be responsible for delay or failure to perform caused by circumstances reasonably outside its control.
27.2 Such circumstances may include:
- Power failures;
- Internet or telecommunications outages;
- Cybersecurity incidents;
- Natural disasters;
- Fire;
- Flood;
- Civil unrest;
- Government action;
- Supplier failures;
- Hardware shortages;
- Software-provider outages;
- Third-party service failures;
- Labour disruptions; or
- Other events beyond DelTrix's reasonable control.
27.3 DelTrix will take reasonable steps to minimise the impact of such circumstances.
28. SUSPENSION OF SERVICES
28.1 DelTrix may suspend Services where reasonably necessary due to:
- Non-payment;
- Security risks;
- Unauthorised use;
- Abuse or threatening behaviour;
- Illegal activity;
- Customer interference with systems;
- A requirement imposed by a third-party provider; or
- Other circumstances where continued provision of the Services would create a material risk.
28.2 Where reasonably practicable, DelTrix will notify the Customer before suspending Services.
28.3 Suspension does not automatically terminate outstanding payment obligations.
29. TERMINATION
29.1 Either party may terminate an ongoing Service arrangement in accordance with the applicable agreement or notice period.
29.2 DelTrix may terminate Services where the Customer materially breaches these Terms and fails to remedy the breach within a reasonable period after being notified.
29.3 Termination does not affect rights or obligations that accrued before termination.
29.4 Amounts due for Products or Services already supplied remain payable.
30. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
30.1 The Customer agrees that quotations, invoices, approvals, notices and other communications may be provided electronically.
30.2 Electronic acceptance, including acceptance by email or other agreed electronic communication, may constitute acceptance of the applicable quotation or agreement.
30.3 Customers should retain copies of quotations, invoices, approvals and other important electronic communications.
30.4 Where electronic transactions are subject to applicable provisions of the Electronic Communications and Transactions Act 25 of 2002, those provisions will apply.
31. COMMUNICATIONS
31.1 Official communications may be sent by email, telephone or other agreed communication channel.
31.2 The Customer is responsible for ensuring that DelTrix has accurate contact information.
31.3 DelTrix is not responsible for delays caused by incorrect or outdated Customer contact information.
32. DISPUTE RESOLUTION
32.1 The parties should first attempt to resolve any dispute through good-faith communication.
32.2 Where appropriate, the parties may agree to mediation before commencing legal proceedings.
32.3 Nothing in this section prevents either party from seeking urgent legal relief where reasonably necessary.
33. GOVERNING LAW
33.1 These Terms are governed by the laws of the Republic of South Africa.
33.2 Any dispute arising from these Terms will be subject to the jurisdiction of the competent courts of South Africa.
33.3 Nothing in these Terms prevents a Customer from exercising a right or remedy granted by applicable consumer-protection legislation.
34. CHANGES TO THESE TERMS
34.1 DelTrix may update these Terms from time to time to reflect changes in its Services, business practices or applicable legislation.
34.2 Updated Terms will apply to new transactions from their effective date unless otherwise agreed.
34.3 The version applicable to a transaction will generally be the version accepted by the Customer at the time of that transaction, subject to applicable law.
35. SEVERABILITY
35.1 If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it lawful and enforceable where legally possible.
35.2 The remaining provisions will continue to apply.
36. ENTIRE AGREEMENT
36.1 These Terms, together with the applicable quotation, invoice, service agreement, SLA or other written agreement, constitute the agreement between DelTrix and the Customer concerning the relevant Products and Services.
36.2 No verbal representation will override the written agreement unless confirmed in writing by an authorised representative of DelTrix.
37. CUSTOMER ACKNOWLEDGEMENT
By accepting a quotation, placing an order, making payment, approving work, requesting Services or otherwise instructing DelTrix to proceed, the Customer acknowledges that:
- They have had a reasonable opportunity to review these Terms;
- They understand that Products and Services may be subject to third-party terms;
- They understand their responsibility to maintain appropriate backups;
- They understand that digital licences may become non-refundable once issued, activated, redeemed or assigned, subject to applicable law;
- They understand their responsibility to provide accurate information and appropriate system access;
- They understand that cybersecurity Services cannot guarantee complete protection against cyber threats; and
- These Terms apply to the relevant transaction unless otherwise agreed in writing.
Nothing in this acknowledgement constitutes a waiver of any right that cannot lawfully be waived.

IMPORTANT LEGAL NOTICE
These Terms and Conditions are intended to provide a comprehensive commercial framework for DelTrix Technology's Products and Services. They must be interpreted subject to applicable South African law.
Where a provision of these Terms conflicts with a mandatory statutory right or protection, the applicable law will prevail.
